General Terms and Conditions for business people of AJOLA GbR

Scope:

These General Terms and Conditions apply exclusively to business people. Contractors in the sense of the terms and conditions are natural or legal entities or legal partnerships acting in the scope of their commercial or individual professional activity when concluding or initiating legal transactions with AJOLA GbR.

General

For any contractors’ product orders the following Terms and Conditions of Sale and Delivery apply. Unless the contractual partners agree otherwise, the version which was valid at the date of order shall apply.
The application and interpretation of these General Terms of Business and the conclusion and interpretation of legal transactions with the customer shall be guided exclusively by the laws of the Federal Republic of Germany. The application of the uniform law governing the conclusion of international sales contracts regarding movable items of the uniform law on the international sale of movable items of the UN sales law are excluded.
The seller’s place of business shall be the place of performance for all and any obligations arising from this contractual relationship, including payment obligations.
Place of jurisdiction shall be the place of court Reinbek, which is competent for the seller’s registered office if the purchaser is a merchant. The seller shall also be entitled to take legal action at a court that is responsible for the headquarters or a branch of the purchaser.

Quotes, Prices, Scope of Delivery and Conclusion of Contract

Any information regarding prices and products are non-binding and subject to change. All prices are quoted in EURO plus the applicable value added tax and plus delivery costs. By sending an online order, the customer makes a binding offer. This offer of sale shall be deemed accepted as soon as the client of AJOLA GbR receives a written order confirmation by email.

First order:

Unless agreed otherwise, payment shall be effected via advance payment to our business account for new clients and first orders.

Follow-up orders:

For registered wholesale clients in Germany, delivery shall be effected by invoice with 14 days terms of payment.

Orders shipped overseas:

Unless agreed otherwise, we only accept advance payment for orders shipped overseas.

The delivered goods shall remain the property of AJOLA GbR until fully paid.
The password required for wholesale must not be passed on to any third parties. In case of unauthorized disclosure of the password, the disclosing client shall be liable for compensation towards AJOLA GbR for indirect or direct damage.
If parts cannot be delivered at the moment or not at all, the client will be informed about this situation and might be required to place a new order.

Deviations in colour and slight deviations in form and size might occur from the image to the original product.

Delivery Costs, Packaging and Delivery Times

Each delivery will take place exclusively through dispatch by DHL as an insured parcel. The delivery costs within Germany amount to 4.99 €, delivery costs for delivery within the EU amount to 12.50 €.
Delivery costs are not negotiable.

AJOLA GbR shall bear the risk of transportation (shipping risk, par. 474 sect. 2 German Civil Code (BGB)).

If the goods are damaged during transport, you can refuse to accept the delivery or you can demand remedy. Please immediately report any transport damages to the parcel courier who will then create a damage report. Please immediately notify us in case of any difficulties during shipping.
Delivery will usually be effected within one day after ordering.  In case of advance payment, the delivery time will delay until receipt of payment. If longer delivery times are required as an exception, we will notify the client about this situation.

Claim

If the purchase is a commercial transaction for both parties, the purchaser must examine the goods immediately upon receipt and must immediately notify the seller if any defect shows.
If the purchaser fails to do so, the goods are considered to be approved unless the defect is of a nature which was not discernible upon inspection.
The figures do not show the actual size of the product. Please note that our products are mainly handmade products so that they can differ in size, form and weight. These are no defects and do not pose a reason for claim.

Right of Return

The client is entitled to a right of return of 3 days upon receipt of the product in case he/she is not satisfied. The period of return starts according to the outbound delivery document of the parcel service. The client is obliged to properly pack and send the goods. Cost and risk of the return shall be borne by the client.
